Welcome to JustRype. These Terms of Service ("Terms") constitute a binding legal agreement between you ("User") and Coastal Labs Studio LLC ("Company," "we," "us," or "our"), the entity that owns and operates the JustRype platform. These Terms govern your access to and use of the JustRype platform ("Platform"), including any associated services and interactions facilitated therein. By accessing, registering for, or using the Platform, you affirm that you have read, understood, and agreed to abide by these Terms. If you do not agree, you must discontinue use of the Platform immediately.

1. Acceptance of Terms

By engaging with the JustRype Platform, you acknowledge your affirmative consent to these Terms and agree to comply with all applicable local, state, and federal laws. Your continued use of the Platform constitutes ongoing acceptance of any updates to these Terms, which may be modified at our discretion.

2. Eligibility

Access to JustRype is restricted to individuals who are at least 18 years of age and are residents of the United States. By using the Platform, you represent and warrant that you meet these eligibility requirements and that all information provided in connection with your account registration is truthful and accurate.

3. Account Registration & User Obligations

To utilize certain functionalities of the Platform, you must create an account. You are solely responsible for safeguarding your account credentials and assume full liability for any activity conducted under your account. Misuse, unauthorized access, or fraudulent activity may result in immediate termination of your account.

4. Marketplace Rules & User Conduct

JustRype serves as a digital marketplace where users may list, buy, sell, or trade locally grown agricultural products. As a condition of use, you agree to:

  • Provide comprehensive and truthful descriptions of any goods listed.
  • Engage in transactions with integrity and adherence to applicable agricultural, food safety, and trade regulations.
  • Abide by any additional policies set forth by JustRype.

Strictly prohibited activities include, but are not limited to:

  • Listing goods that are unlawful, counterfeit, hazardous, or otherwise restricted.
  • Misrepresenting product attributes, origin, or condition.
  • Engaging in fraudulent, deceptive, or unethical transactions.
  • Circumventing or attempting to manipulate the JustRype Platform, including through off-platform dealings that undermine the marketplace ecosystem.

Violations of these provisions may result in enforcement actions, including but not limited to, account suspension or permanent removal from the Platform.

5. Business Accounts

JustRype allows eligible users to create a Business Page to represent a farm, bakery, cottage food operation, or other local food producer ("Business Account"). By creating a Business Account, you represent and warrant that:

  • You are authorized to represent the business and act on its behalf.
  • All information provided during Business Account creation — including business name, type, address, phone number, certifications, and any other details — is accurate, current, and not misleading.
  • You will maintain the accuracy of your Business Account information and promptly update it if circumstances change.
  • Any certifications listed (e.g., Organic Certified, Cottage Food License) are legitimately held by the business at the time of listing.

You acknowledge that:

  • Your business address will be displayed publicly and exactly to all users of the Platform. Unlike personal listings, business addresses are not obfuscated or approximated.
  • Your business phone number will be displayed publicly on your Business Page as a contact number for buyers.
  • Creating a Business Account constitutes a legal attestation that the information provided is accurate and that you are authorized to represent the business.

JustRype reserves the right to remove, suspend, or restrict any Business Account that is found to contain false, misleading, or unverifiable information, or that otherwise violates these Terms. JustRype does not independently verify business information at the time of account creation but may take action upon receiving reports of inaccurate or fraudulent business listings.

7. Fees, Payments, and Transaction Facilitation

JustRype does not facilitate, process, or intermediate any financial transactions between users. All payments, exchanges, and monetary arrangements occur entirely outside of the Platform and are conducted solely between the parties involved. JustRype has no involvement in, control over, or responsibility for any payment disputes, failed transactions, or financial disagreements between users.

In the event that JustRype incorporates third-party payment processing services in the future, additional terms governing such services will be published accordingly. Users must comply with any such terms before utilizing integrated payment services.

8. User Interactions, Meetups & Third-Party Services

ASSUMPTION OF RISK: JustRype serves solely as a digital platform connecting users. We do not verify, screen, or regulate user interactions, identities, product quality, or transaction outcomes beyond the provisions outlined in these Terms. Users acknowledge and expressly agree that:

  • All communications, negotiations, meetups, and transactions occur entirely independently and at the user's sole risk.
  • JustRype does not verify the identity, background, or trustworthiness of any user.
  • JustRype does not inspect, certify, or guarantee the safety, quality, legality, or authenticity of any goods listed or exchanged on the Platform.
  • Any in-person meetings or exchanges arranged through the Platform are conducted entirely at the user's own risk and discretion.

JustRype expressly disclaims all liability for any disputes, injuries, property damage, theft, fraud, illness, allergic reactions, foodborne illness, misrepresentations, or any other harm arising from user interactions, transactions, or consumption of goods obtained through the Platform.

9. Electronic Communications & Consent

By using the Platform, you consent to receive electronic communications from JustRype, including but not limited to notifications, updates, and promotional content. These communications may satisfy any legal requirements mandating written communication. You may opt out of non-essential communications as permitted by our policies.

10. Intellectual Property Rights & License Grant

The Platform and all associated content, including trademarks, branding, software, and proprietary materials, are the exclusive property of JustRype or its licensors. Unauthorized use, reproduction, or modification of such materials is strictly prohibited.

By submitting content to JustRype, including but not limited to product listings, images, or reviews, you grant JustRype a perpetual, non-exclusive, royalty-free, worldwide license to use, display, modify, and distribute such content solely for Platform functionality and promotional purposes.

11. Copyright Infringement & DMCA Compliance

If you believe your intellectual property rights have been violated through the Platform, you may submit a formal infringement claim to legal@justrype.com. Claims must comply with the provisions of the Digital Millennium Copyright Act (DMCA) or other applicable legal frameworks. We will assess and respond to such claims accordingly.

12. Disclaimer of Warranties & Limitation of Liability

DISCLAIMER: THE JUSTRYPE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

JustRype expressly does not:

  • Verify, endorse, inspect, or guarantee the quality, safety, legality, freshness, or authenticity of any goods listed on the Platform.
  • Verify, screen, or perform background checks on any users of the Platform.
  • Assume any liability for user conduct, communications, meetups, or transaction outcomes.
  • Guarantee the accuracy of any information provided by users, including product descriptions, allergen information, or preparation methods.
  • Offer warranties, refunds, mediation, or dispute resolution services.

RELEASE OF LIABILITY: BY USING THE PLATFORM, YOU HEREBY RELEASE, WAIVE, AND FOREVER DISCHARGE COASTAL LABS STUDIO LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS FROM ANY AND ALL CLAIMS, DEMANDS, DAMAGES, LOSSES, COSTS, EXPENSES, AND LIABILITY OF ANY KIND, WHETHER KNOWN OR UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH:

  • Your use of the Platform or any goods or services obtained through the Platform.
  • Any interactions, communications, or transactions with other users.
  • Any in-person meetings or exchanges arranged through the Platform.
  • The consumption of any food or agricultural products obtained through the Platform, including but not limited to foodborne illness, allergic reactions, contamination, or adverse health effects.
  • Any personal injury, property damage, theft, assault, or other harm occurring during or as a result of Platform-facilitated interactions.
  • Any disputes, fraud, misrepresentation, or breach of agreement by other users.

LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COASTAL LABS STUDIO LLC BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER JUSTRYPE WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, JUSTRYPE'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Data Collection & Privacy Policy

Your use of JustRype is subject to our Privacy Policy, which outlines the collection, processing, and protection of user data. By engaging with the Platform, you consent to the data practices described therein.

14. Termination, Suspension & Enforcement Measures

JustRype reserves the right to suspend, terminate, or restrict account access at our discretion if a user is found in violation of these Terms, engages in unlawful activities, or otherwise disrupts Platform integrity. Such enforcement actions may occur without prior notice.

15. Indemnification

You agree to indemnify, defend, and hold harmless Coastal Labs Studio LLC, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of and access to the Platform.
  • Your violation of any term of these Terms.
  • Your violation of any third-party right, including any intellectual property, privacy, or property right.
  • Any goods you list, sell, or provide through the Platform.
  • Any claim that your content or conduct caused damage to a third party.
  • Any dispute between you and another user of the Platform.

This indemnification obligation will survive the termination of these Terms and your use of the Platform.

16. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

BINDING ARBITRATION: Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall take place in Los Angeles, California, or at another mutually agreed location. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

CLASS ACTION WAIVER: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST JUSTRYPE.

WAIVER OF JURY TRIAL: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM.

17. Amendments & Modifications

JustRype reserves the right to modify these Terms at any time. Material changes will be communicated to users via electronic notification. Continued use of the Platform following such modifications constitutes acceptance of the updated Terms.

By accessing and using JustRype, you acknowledge and agree to these Terms, reaffirming that JustRype functions solely as a digital facilitator of transactions and does not assume liability for user-generated content or conduct. Thank you for participating in our community-driven marketplace.
